Information Confidentiality

The phrases “Confidential Information” and “Proprietary Information” mean that any information disclosed, provided, communicated or obtained, either orally or in writing, either in the electronic form or otherwise, regarding know-how, techniques, designs, specifications, copies, diagrams, images, logos, forms, models, samples, flow charts, computer software, disks, floppy disks, tapes, texts, drawings, photographs, graphs, projects, methodologies, blueprints, business vision, operation format, services to be provided, information on planned or executed solutions for customers, and other financial or commercial techniques, as well as the way how solutions are presented and the communication approach, all Business-related documents, and any other information disclosed information disclosed by agents or contractors for the execution of Business.

Note: “Proprietary Information” is information that can be used only within TIVIT’s facilities.

Thus, for any of said pieces of information accessed via TIVIT’s Intranet, Internet or Extranet, the users should comply with the confidentiality duty, including:

Obligation to keep confidential all “Confidential information” or “Proprietary Information” and take all actions to minimize the risk of disclosure, ensuring that only the strictly necessary representatives have access to the contents thereof, on a need-to-know basis.

Ensure that “Confidential information” or “Proprietary Information”, in the forms outlined in the initial definition, are not copied or reproduced in any form without the prior, explicit consent of the information owner.

Ensure the security and control of all “Confidential information” or “Proprietary Information”, in the document form or any other material form that enable the identification thereof, restricting the location and usage to restricted-access areas and storing said information in locked, safe places while not in use.

Responsibilities

Any activity or conduct in violation of regulations, rules or standards defined by the Internet, Extranet or Intranet community, or that could jeopardize the facilities, network, reputation, good faith or the relationship with TIVIT’s customers, as expressly mentioned or not in this Usage Policy, is strictly prohibited.

By accessing information over TIVIT’s Intranet, Internet or Extranet, the user expressly agrees with the terms provided for herein. In case of evident noncompliance with these terms and other terms provided for in law, TIVIT shall, at its sole discretion, suspend either provisionally or definitely the access to the Web site, without prejudice of other actions oriented to end the improper practices, in pursue of recovery from the consequences thereof.

The user further agrees that TIVIT is entitled to amend this Usage Policy at any time, as well as the facilities available on TIVIT’s Intranet, Internet or Extranet, irrespective of prior notice to the user. It is advisable that the user returns from time to time to check for updates.

Network and Systems Security

Violations to TIVIT’s network and system security are prohibited, and violators may support criminal or civil liability.

TIVIT Intranet, Internet or Extranet users are not entitled to:

Provide Login and Password to unauthorized users not recognized by TIVIT.

Obtain unauthorized access or use data, systems or networks, or make any attempt to investigate, examine or test vulnerabilities of the network, networking devices, or breach the security or authentication measures, without explicit authorization.

Commit or attempt unauthorized intrusions of any TIVIT hardware, files or systems in order to hack, without authorization, any other network.

Perform unauthorized data or traffic monitoring in any network or system, without formal authorization.

Breach the security to obtain access to TIVIT’s services.

TIVIT uses encryption techniques, firewalls and other technologies and procedures applicable to security, with a view to protect the information security and prevent unauthorized access or improper use.

The use of TIVIT’s Intranet, Internet or Extranet, servers and services, including the design of said Web sites, to create, transmit, distribute, insert, store or make available any illegal material, as well as any violations provided for herein or that abuses or jeopardizes TIVIT’s image and customers thereof, is strictly prohibited.

The links available on TIVIT’s Intranet, Internet or Extranet to other Web sites owned by TIVIT, and the access to software and systems developed or purchased by TIVIT, are also covered by the scope of this policy. The users of customer, partner and vendor Web sites, if referenced at TIVIT’s Intranet, Internet or Extranet should adhere to the Policies set forth by the respective owners regarding usage and security. In the latter case, TIVIT acknowledges the relevant trademarks and patents, as well as the policies.

Third-party software and systems can be used solely upon the respective usage license and when contracted and acknowledged by TIVIT, even when linked through TIVIT’s Intranet, Internet or Extranet.

Documents, Standards, Procedures, Policies, Operation Scripts, Programs, News, Marketing Materials, Product and Service Description, Client listings and the respective business, Knowledge Base, Articles, Management, Financial and Cost Information, as well as all information published on TIVIT’s Intranet, are deemed Proprietary; therefore, these cannot be used outside the company without prior consent, nor disclosed, copied or changed for the general public.

Usage Rights and Intellectual Property

The content of TIVIT’s Intranet, Internet or Extranet pages, including information, specifications, diagrams, images, logos, forms, models, samples, flowcharts, computer software, texts, drawings, photographs, graphs, designs, methodologies, blueprints, business vision, operation format, services to be provided, information on solutions planned or executed for customers, and other techniques–both financial or commercial–, as well as the way how solutions are presented and the communication approach, as well as all other Business-related documents, as well as any other information disclosed by agents or contractors for the execution of Business are proprietary of Terceirização de Tecnologia e Serviços S/A or third parties that have lawfully assigned their usage rights. TIVIT recognizes the Copyrights belonging to their owners.
